Abstract


The integration of digital technologies into corporate governance frameworks introduces complex ethical challenges relating to fairness, accountability, transparency, confidentiality, inclusivity, equity, data privacy and protection, and algorithmic decision-making authority. Poor ethical practices may consequently have a downward effect on the corporate governance practices of an organisation. The qualitative research methodology was employed using the doctrinal design that involved the use of primary and secondary sources of data such as the Constitution of the Federal Republic of Nigeria 1999 (as amended), Companies and Allied Matters Act 2020, other legislation, journal articles and other secondary sources of information. The study found that the ethical utilisation of technology in corporate governance enhances the benefits of using technology in corporate governance practices of companies in Nigeria. Corporate governance principles of transparency, accountability and fairness are better upheld by the ethical deployment of technological tools by companies. This paper recommended that the directors and management of companies should through effective technology governance ensure that companies deploy technology innovations ethically.
